TERMS OF SERVICE
Last updated: September 22, 2026

These Terms of Service (“Terms”) are a legally binding agreement between you and Luma Strategy LLC, which operates the Luma Strategy website and brand (“Luma Strategy,” “Luma,” “we,” “our,” or “us”). These Terms govern your access to and use of lumastr.com (the “Site”), our consulting and administrative-support services, and our digital products (collectively, the “Services”). By purchasing or using a Service, you agree to these Terms. If you act for an organization, you represent that you have authority to bind that organization.

1. Nature of Our Services
1.1 Luma provides general business and relocation consulting, educational information, organizational and administrative support, project coordination, and digital materials.
1.2 Luma is not a law firm and does not provide New York or U.S. legal advice or legal representation. No attorney-client relationship is created by your use of the Site, a consultation, a purchase, or communications with Luma.
1.3 Luma may provide general educational information about business structures, jurisdictions, filing processes, government procedures, and commercial considerations. We do not make individualized legal determinations for you, including which legal entity, jurisdiction, contractual provision, immigration category, filing strategy, or other legal course of action you should choose. Where a matter requires legal judgment, you should consult an appropriately licensed attorney.
1.4 Luma does not provide immigration legal advice, determine immigration eligibility, select immigration benefits or strategies, represent customers before immigration authorities, or provide other immigration legal services. Any clerical, organizational, or translation assistance, if offered, is limited to non-legal support based on information and decisions supplied by the customer.
1.5 Luma is not a tax, accounting, investment, brokerage, or financial-advisory firm and does not provide tax, accounting, investment, or financial advice.
1.6 Members of our team may have legal education, professional experience, or qualifications obtained outside the United States. Such background does not, by itself, authorize the person to practice New York or U.S. law.
1.7 You are responsible for obtaining advice from licensed attorneys, tax professionals, accountants, or other qualified professionals when appropriate.
1.8 We do not guarantee any government, bank, payment-platform, marketplace, immigration, business, revenue, processing-time, or other outcome.

2. Eligibility
You must be at least 18 years old and have legal capacity to enter into these Terms. We may decline or terminate Services where required by applicable law or where providing the requested Service would fall outside our permitted scope.
3. Privacy and Additional Policies

Our Privacy Policy, Cookie Policy, and Refund and Cancellation Policy form part of these Terms. If we enter into a separate written engagement agreement for a particular project, that agreement controls to the extent of any conflict concerning that project.

4. Site and Digital Products
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Site and purchased digital products for your own personal or internal business purposes. Unless expressly permitted in writing, you may not resell, redistribute, publicly publish, or commercially exploit paid materials; create a competing product substantially derived from them; or use them to train, fine-tune, or benchmark a machine-learning or artificial-intelligence system. All intellectual-property rights remain with Luma or its licensors.

5. Consultation Requests and Pre-Engagement Information
Submitting a consultation request does not obligate Luma to accept an engagement and does not create an attorney-client or other licensed-professional relationship. Please do not submit sensitive identifiers or credentials through a general form. Information submitted before an engagement is handled in accordance with our Privacy Policy and reasonable confidentiality practices, but it is not protected by attorney-client privilege merely because it was sent to Luma.

6. Scheduling, Rescheduling, and No-Shows
Consultations are provided remotely at a time confirmed by the parties. You may cancel or reschedule without charge by notifying us at least 24 hours before the scheduled start time. A cancellation made less than 24 hours before the start time, or a no-show, may be treated as delivered and non-refundable. We will wait 15 minutes after the scheduled start time before treating a consultation as a no-show. If Luma cancels and no reasonable alternative time works for you, we will refund the unused consultation. Unless otherwise stated in the applicable package, prepaid consultation packages must be used within 6 months after purchase.

7. Customer Information and Confidentiality
You retain ownership of information you provide. You authorize Luma to use it as reasonably necessary to evaluate requests, provide Services, communicate with you, process transactions, and comply with law. Luma will use reasonable measures to protect non-public customer information and may disclose it to personnel and service providers with a need to know, with your consent, or as required by law. This contractual confidentiality commitment does not create attorney-client privilege. Materials and deliverables supplied by Luma may be proprietary and may not be redistributed except as expressly permitted.

8. Fees, Scope, and Payment
8.1 Prices are stated in U.S. dollars unless otherwise shown. The price applicable to a purchase is the price shown or confirmed before payment.
8.2 A price stated as “from” is a starting price. The final scope and fee for a custom engagement will be confirmed before work begins.
8.3 Unless expressly included in writing, our fees exclude government filing fees, registered-agent fees, bank or platform fees, translation, notarization, courier charges, and other third-party expenses.
8.4 Work outside the agreed package or written scope may require a separate fee or written approval before it is performed.
8.5 Payments may be processed by third-party payment processors. Their own terms and privacy practices apply. Luma does not store full payment-card numbers.
8.6 Any timeline is an estimate unless expressly guaranteed in writing. Luma is not responsible for delays caused by government agencies, banks, payment platforms, vendors, or other third parties.
8.7 Applicable taxes will be charged where required by law. Refunds are governed by the Refund and Cancellation Policy.

9. No Automatic Renewal Unless Expressly Offered
A one-time purchase does not automatically renew unless the applicable offer expressly states otherwise. If Luma offers an automatically renewing or continuous paid service to a New York consumer, the applicable offer and checkout process will disclose the material renewal terms, obtain the required affirmative consent, provide the required acknowledgment or notices, and provide a legally compliant cancellation mechanism.

10. Third-Party Services
Government agencies, banks, registered agents, payment processors, marketplaces, software providers, and other third parties are independent from Luma. We do not control their decisions, eligibility requirements, security, availability, processing times, fees, or terms.

11. Disclaimers
To the maximum extent permitted by applicable law, the Site, general information, digital materials, and Services are provided “as is” and “as available.” Laws, procedures, filing fees, government policies, and platform rules may change. General information may become outdated and should not be treated as individualized legal, immigration, tax, accounting, investment, or financial advice. Nothing in these Terms limits rights that cannot lawfully be waived.

12. Limitation of Liability
To the maximum extent permitted by law, Luma will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost business opportunities, or lost data, arising from the Services. To the maximum extent permitted by law, Luma’s aggregate liability arising from a particular paid Service will not exceed the amount paid to Luma for that Service during the 12 months preceding the event giving rise to the claim. These limitations do not apply to fraud, fraudulent misrepresentation, or other liability that cannot legally be excluded or limited.

13. Indemnification
To the extent permitted by law, you agree to indemnify and hold Luma and its members, officers, employees, and contractors harmless from third-party claims arising from your unlawful use of the Services, your material breach of these Terms, or your infringement of a third party’s rights. This provision does not require indemnification for Luma’s own fraud, willful misconduct, or liability that cannot lawfully be shifted.

14. Termination
We may suspend or terminate access for a material breach, unlawful use, nonpayment, security risk, or where required by law. Provisions that by their nature should survive termination - including payment obligations, intellectual-property provisions, confidentiality, disclaimers, dispute provisions, and liability limitations - will survive.

15. Changes to These Terms
We may revise these Terms prospectively. Material changes will be posted on the Site and, where appropriate or required, additional notice will be provided. The Terms in effect when a purchase is completed govern that purchase unless the parties later agree otherwise.

16. Dispute Resolution and Arbitration
16.1 Before commencing arbitration or litigation, either party should provide written notice of the dispute and allow 30 days for a good faith attempt to resolve it.
16.2 Except for matters that may properly be brought in small claims court and requests for provisional or equitable relief concerning intellectual property or confidential information, disputes arising from these Terms or consumer Services will be resolved by individual binding arbitration administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules, to the extent the arbitration agreement is enforceable under applicable law.
16.3 Consumer filing fees, administrative fees, expenses, and arbitrator compensation will be allocated in accordance with the applicable AAA rules and mandatory law. Luma will pay amounts that those rules require the business to pay.
16.4 To the extent permitted by law, each party waives a jury trial for claims subject to arbitration and agrees that claims subject to arbitration will be brought only on an individual basis, not as a class or representative proceeding.
16.5 You may opt out of this arbitration agreement by emailing lumateam@lumastr.com within 30 days after first accepting these Terms and stating your name, the email address used for the purchase, and that you are opting out of arbitration.
16.6 Nothing in this Section eliminates any non-waivable consumer right or forum available under applicable law.

17. Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. For disputes not subject to arbitration, the parties consent to the state and federal courts located in New York County, New York, except where mandatory law provides otherwise.

18. Electronic Communications
You consent to receive transaction and service communications electronically. Marketing communications will be sent in accordance with applicable law and will provide an unsubscribe method where required.

19. General
Neither party is the agent, partner, employee, or joint venturer of the other. If a provision is unenforceable, it will be enforced to the maximum lawful extent, and the remainder will remain effective. A failure to enforce a provision is not a waiver. These Terms, together with the incorporated policies and any applicable written engagement agreement, constitute the agreement concerning the Services. The English version controls; any translation is provided for convenience unless applicable law requires otherwise.
